Position Summary:
The Sr. Director of Commercial Legal plays a pivotal role in scaling the legal function at Pax8. They are responsible for executing the goals and priorities of the commercial legal function and ensuring that business results align with our organization’s objectives. The Sr. Director collaborates closely with cross-functional stakeholders and other members of the legal team to ensure a cohesive and global approach to commercial legal matters at Pax8. They leverage their expertise in commercial agreements and technology-related transactions to make a significant impact on a rapidly growing company through strategic initiatives. The Sr. Director drafts, reviews, and negotiates a diverse range of cutting-edge commercial agreements and implements scalable processes and procedures, while providing strategic legal advice to our dynamic internal teams.
Essential Responsibilities:
- Drive efforts to create and implement scalable approach to engagement with stakeholders in the Pax8 Marketplace.
- Build processes and structure for the global commercial legal team to ensure the team can support core activities and high priority work properly.
- Support our commerce, experience, revenue operations, finance, marketing, and procurement and sourcing functions.
- Work closely with business leadership to drive implementation of our strategy.
- Draft, review, negotiate, and interpret a wide variety of commercial agreements, including, but not limited to SaaS, software, and technology agreements, MSAs, SOWs, licensing agreement and MDF agreements.
- Develop and refine terms and conditions and standard contract forms.
- Manage and supervise a team of commercial lawyers and paralegals, ensuring high-quality work and professional development.
- Collaborate with other members of our global legal team, to ensure alignment and consistency.
- Monitor and advise on relevant legal developments, trends, and risks affecting the business and the industry.
- Build and improve processes and systems to enhance the efficiency and effectiveness of the commercial legal function.
Ideal Skills, Experience, and Competencies:
- At least ten (10) years of relevant legal experience in commercial agreements with a focus on technology-related agreements and transactions.
- Experience working at a law firm and in-house at a technology company.
- Proficient with Microsoft Word, Excel, PowerPoint and SharePoint.
- Experience using a CLM.
- Experience with Salesforce a plus.
- Excellent negotiation, drafting, and analytical skills.
- Demonstrated leadership, management, and problem-solving skills, with a proactive and business-oriented approach.
- Working knowledge of intellectual property law, cybersecurity, and data privacy.
- Exceptional communication and interpersonal abilities, with a proven ability to be a dedicated support partner for business leadership.
- Demonstrated ability to think strategically, balance business needs with legal risks and manage expectations of business leadership.
- Adaptable, detail-oriented, and able to prioritize and manage multiple projects in a fast-paced environment.
Required Education & Certifications:
- B.A./B.S. in a related field or equivalent work experience.
- Juris Doctor (JD) degree from a top-tier law school and a current member in good standing with a State Bar.
Compensation:
- Qualified candidates can expect a salary beginning at $175,000 or more depending on experience
